These Terms and Conditions (“Terms”) govern your access to and use of ShopiMods (the “App”), a Shopify application owned and operated by Logic Wave Technologies LTD (“Company”, “we”, “our”, or “us”).
By installing, accessing, or using the App, you (“Merchant”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use the App.
1. Description of the App
ShopiMods is a Shopify application that enables merchants to:
- Export Shopify order data in JSON format
- Transform and forward order data to a third-party external platform
- Receive tracking numbers and status updates from the external platform
- Update Shopify orders with tracking details and fulfillment or cancellation statuses
- Manage synced orders through an administrative dashboard
The App operates via Shopify APIs and merchant-configured third-party APIs.
2. Eligibility
To use the App, you must:
- Have an active Shopify store
- Have authority to bind the store owner to these Terms
- Comply with Shopify’s Terms of Service and API License and Usage Terms
3. Account and Access
- Access to the App requires authentication through Shopify.
- Merchants are responsible for maintaining the confidentiality of any credentials, API keys, or subdomain details used with third-party platforms.
- You are responsible for all activity that occurs under your Shopify account.
4. Subscription Plans and Billing
ShopiMods is a paid subscription-based service. Pricing plans include (exclusive of applicable taxes such as VAT):
- Up to 100 orders/month – GBP 30
- Up to 500 orders/month – GBP 100
- Up to 1,000 orders/month – GBP 150
- Unlimited orders/month – GBP 300
Billing is handled via Stripe subscriptions and processed independently of Shopify.
Key billing terms:
- Subscriptions renew automatically unless canceled.
- Order limits reset at the start of each billing cycle.
- Exceeding plan limits may result in syncing restrictions or upgrade prompts.
- No refunds are provided for partial billing periods unless required by law.
5. Shopify Data Access & Usage
By installing the App, you grant permission to access only the data required for core functionality, including but not limited to:
- Orders
- Fulfillment data
- Tracking information
- Product SKUs and bundle relationships
Data usage principles:
- Data is used solely to provide the App’s functionality.
- No Shopify data is sold, shared, or used for advertising.
- Data is retained only as long as necessary for operational purposes.
6. Third-Party Integrations
The App allows merchants to connect external platforms using API credentials and subdomains provided by the merchant.
- The Company does not control or operate third-party platforms.
- Merchants are solely responsible for the accuracy, legality, and reliability of third-party APIs.
- The Company is not liable for failures, delays, or data inconsistencies caused by third-party services.
7. Bundled Products
If bundled products are configured using SKUs:
- The App may decompose bundles into child items before sending them to the external platform.
- Merchants are responsible for ensuring SKU accuracy and bundle definitions.
- The Company is not responsible for inventory discrepancies caused by incorrect bundle configuration.
8. Merchant Responsibilities
You agree that you will:
- Comply with all applicable laws and regulations
- Maintain accurate product, order, and integration settings
- Ensure that your use of the App does not violate Shopify policies
- Use the App only for lawful business purposes
9. Service Availability
- The App is provided on an “as is” and “as available” basis.
- We do not guarantee uninterrupted or error-free operation.
- Maintenance, updates, or Shopify API changes may affect functionality.
10. Termination
Either party may terminate use of the App at any time.
- Merchants may uninstall the App via Shopify.
- We reserve the right to suspend or terminate access for violations of these Terms.
- Upon termination, access to the App and stored operational data may be removed.
11. Intellectual Property
All intellectual property rights related to the App, including code, branding, and documentation, are owned by Logic Wave Technologies LTD.
Merchants receive a limited, non-exclusive, non-transferable license to use the App during an active subscription.
12. Limitation of Liability
To the maximum extent permitted by law:
- The Company shall not be liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the fees paid by the merchant in the preceding 3 months.
- We are not responsible for lost revenue, data loss, or operational disruptions.
13. Indemnification
You agree to indemnify and hold harmless Logic Wave Technologies LTD from any claims, losses, or damages arising from:
- Your use of the App
- Third-party integrations
- Violation of Shopify policies or applicable laws
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable to Logic Wave Technologies LTD, without regard to conflict of law principles.
